The following document is a personal, non-exclusive copyright license between you - the Licensee - and the AFSCM founding members (*), regarding the AFSCM specifications, that must be included in any copy of said specifications.

The licensee is authorized to copy, present or communicate the AFSCM specifications on any media without having to pay any license fee under the condition that the following copyright notice be included in any copy or any excerpt of the specifications:

The licensee is NOT authorized to create or disclose modifications or abstracts of the specifications or work derived from the specifications.

The specifications include detailed functional specifications, technical specifications, NFC handset and NFC UICC implementation guidelines, application development guidelines (midlet and cardlet) and SP-MNO interconnection guidelines.

Separate patent licenses and additional materials will be proposed to those wanting to implement solutions compliant with the AFSCM specifications, under licensing conditions to be defined in separate agreements. Information for procuring such patent licenses and additional materials documents is contained in Annex 1.

THE SPECIFICATIONS ARE SUPPLIED "AS IS" AND NEITHER THE AFSCM NOR ITS MEMBERS ARE COMMITTED TO ANY WARRANTY, EXPLICIT OR IMPLICIT, REGARDING THE SPECIFICATIONS, IN PARTICULAR NO WARRANTY IS GIVEN OF QUALITY, SUITABILITY TO ANY USE WHATSOEVER, ABSENCE OF TITLE OR RIGHTS TO THE CONTENT OF THE SPECIFICATIONS, INSURANCE THAT THE USE OF THE SPECIFICATIONS WILL NOT INFRINGE INTELLECTUAL PROPRETY RIGHTS OF A THIRD PARTY SUCH AS PATENTS, TRADE MARKS, COPYRIGHTS. NEITHER THE AFSCM NOR ITS MEMBERS SHALL BE HELD LIABLE FOR ANY DAMAGE INCURRED IN CONNECTION TO THE USE, REPRESENTATION OR COMMUNICATION OF THE SPECIFICATIONS.

Neither the AFSCM name nor its trade marks shall be used under any circumstances, such as to communicate or advertise the specifications without the prior written agreement of the AFSCM.

No rights other than the rights described above are granted under this license and the rights granted under this license cannot be construed as conferring, implicitly or explicitly, any rights (through a licensing agreement or any other means) concerning AFSCM or AFSCM members inventions, know-how or intellectual property, or any of their assets resulting from, based on or required in the specifications.

This copyright license is subject to French law and shall be governed by and interpreted according to French laws. The exclusive place of jurisdiction shall be the Paris Court of Appeal, regardless of the number of claims or defendants.

By downloading the AFSCM specifications, you indicate your acceptance of these terms and conditions.

Licence de droit d'auteur

Le document qui suit est une licence de droit d'auteur personnelle et non exclusive entre vous et l'AFSCM représentant ses membres fondateurs (*), s'appliquant aux Spécifications AFSCM et devant être incluse dans toutes copies desdites Spécifications.

Il est donné licence du droit de copier, représenter et communiquer les Spécifications AFSCM (ci-après « les Spécifications »), sur tout support sans contrepartie financière, sous réserve que soit impérativement insérée la notice d'information suivante sur toutes copies des Spécifications ou extraits pouvant en être faits :

Aucun droit de créer ou divulguer des modifications ou dérivés des Spécifications n'est concédé au titre de la présente licence. Les Spécifications comprennent des spécifications fonctionnelles détaillées, des spécifications techniques, des recommandations d'implémentation, un guide de développement et un guide de raccordement.

Des licences de brevets ainsi que des éléments supplémentaires seront mis à disposition de toute personne souhaitant mettre en œuvre des solutions se conformant aux Spécifications, à des conditions à définir par accords séparés. L'information permettant d'obtenir les dites licences de brevets et éléments supplémentaires est fournie en Annexe 1.

La présente licence de droit d'auteur est soumise au droit français et sera interprétée conformément aux dispositions du droit français. La compétence judiciaire est attribuée exclusivement aux tribunaux compétents du ressort de la Cour d'Appel de Paris, même en cas de demandes additionnelles ou de pluralité de défendeurs.

Annex 1: Declarations from IPR Holders

For the purpose of this Annex, the following definitions apply:

"Affiliate" means, with respect to a given entity, any person or entity which, directly or indirectly, controls, is controlled by, or is under common control with the entity in question, where "control", "controlled by" or "under common control with" means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of the person or entity in question, whether through ownership of voting securities, contract or otherwise.

"Essential Patent" means any patent claim in any granted patent or pending patent application now or hereafter existing that would be infringed by the Implementation of any product or other work that may incorporate or implement the AFSCM specifications in whole or in part.

"Implementation" means any implementation, including, without limitation, making, having made, using, selling, offering for sale, importing or otherwise distributing.

"Related Product" means any product, equipment, device or terminal that incorporates (in whole or in part) an Implementation of the AFSCM specifications or that implements the AFSCM specifications by virtue of their use.

Annex 1.1: IPR DISCLOSED BY FRANCE TELECOM

1. Although France Telecom and its Affiliates are unaware of any claim in any patent or patent application, or any other IPR, that would be infringed by the Implementation of the AFSCM specifications, France Telecom believes that the following Essential Patents (including foreign counterparts not listed here), some of which are owned (in whole or in part) by France Telecom, may be infringed by the Implementation of Related Products:

- granted patent FR 2666187 (FT01769): patent pool NFC, co-owned by France Telecom and La Poste;

- granted patent FR 2714987 (FT02256): patent pool W-CDMA, co-owned by France Telecom and La Poste;

- granted patent EP 0562890 (FT100030): patent pool W-CDMA, owned by France Telecom;

- patent application EP 1946206 (FT05877), co-owned by France Telecom and Koninklijke PHILIPS Electronics N.V.; and

- patent application WO2008129225 filed under priority filing FR 07 54194 (FT06545), owned by France Telecom.

2. France Telecom hereby irrevocably covenants and agrees that it will not assert and will ensure that none of its Affiliates asserts, against any implementer, any claim that any related IPR owned by France Telecom or any such affiliate is infringed by any Implementation of any Related Product other than the making, having made, selling, offering for sale or importing equipments, terminals or devices.

3. France Telecom also indicates that the licenses of the above Essential Patents that may be required to implement Related Products generally and to make, have made, sell, offer for sale, or import Related Products that are products, equipments, terminals or devices, are all available as of the date of the AFSCM specifications were made available to the public, to any Implementer requesting a licence as follows:

- from Via Licensing Inc. administering the NFC patent pool under the prevailing licensing terms and conditions; and

- from Sipro Lab Telecom Inc. administering the W-CDMA patent pool under the prevailing licensing terms and conditions.

Additionally, to the extent not available from an existing patent pool, France Telecom hereby agrees that all licenses to Essential Patents owned (in whole or in part) from time to time by France Telecom that may be required to implement the AFSCM specifications generally and to make, have made, sell, offer for sale, or import products implementing the AFSCM specifications that are equipments, terminals or devices, shall be available to any implementer requesting a license, directly from France Telecom under reasonable and non discriminatory (RAND) licensing terms and conditions, subject to reciprocity. 1. Although SFR and its Affiliates are unaware of any claim in any patent or patent application, or any other IPR, that would be infringed by the Implementation of the AFSCM specifications, SFR believes that the following Essential Patents (including foreign counterparts not listed here), some of which are owned (in whole or in part) by SFR, may be infringed by the Implementation of Related Products:

- granted patent FR 2 834 407;

- granted patent FR 2 834 404;

- granted patent FR 2 847 756;

- granted patent FR 2 895 607;

- granted patent FR 2 791 854;

2. SFR hereby irrevocably covenants and agrees that it will not assert and will ensure that none of its Affiliates asserts, against any implementer, any claim that any related IPR owned by SFR or any such affiliate is infringed by any Implementation of any Related Product other than the making, having made, selling, offering for sale or importing equipments, terminals or devices.

3. Additionally, to the extent not available from an existing patent pool, SFR hereby agrees that all licenses to Essential Patents owned (in whole or in part) from time to time by SFR that may be required to implement the AFSCM specifications generally and to make, have made, sell, offer for sale, or import products implementing the AFSCM specifications that are equipments, terminals or devices, shall be available to any implementer requesting a license, directly from SFR under reasonable and non discriminatory (RAND) licensing terms and conditions, subject to reciprocity. 1. Although Bouygues Telecom and its Affiliates are unaware of any claim in any patent or patent application, or any other IPR, that would be infringed by the Implementation of the AFSCM specifications, Bouygues Telecom believes that the following Essential Patents (including foreign counterparts not listed here), some of which are owned (in whole or in part) by Bouygues Telecom, may be infringed by the Implementation of Related Products:

- granted patent FR 2913546; and

- granted patent FR 2930862.

2. Bouygues Telecom hereby irrevocably covenants and agrees that it will not assert and will ensure that none of its Affiliates asserts, against any implementer, any claim that any related IPR owned by Bouygues Telecom or any such affiliate is infringed by any Implementation of any Related Product other than the making, having made, selling, offering for sale or importing equipments, terminals or devices.

3. Bouygues Telecom hereby agrees that all licenses to Essential Patents owned (in whole or in part) from time to time by Bouygues Telecom that may be required to implement the AFSCM specifications generally and to make, have made, sell, offer for sale, or import products implementing the AFSCM specifications that are equipments, terminals or devices, shall be available to any implementer requesting a license, either from Bouygues Telecom or from the patent pool it may have subscribed, under reasonable and non discriminatory (RAND) licensing terms and conditions, subject to reciprocity.
